1. Agreement to Terms

These Terms of Service ("Terms") constitute a legally binding agreement between you and Statlyne LLC, doing business as Roles ("Company," "we," "our," or "us"), concerning your access to and use of the roles.cc website and our recruitment services (collectively, the "Services").

By accessing or using our Services, you acknowledge that you have read, understood, and agree to be bound by these Terms. If you do not agree to these Terms, you must not access or use our Services.

Roles provides recruitment and talent acquisition services, including but not limited to:

• Executive search and recruitment for startups and growth-stage companies
• Candidate sourcing, screening, and evaluation
• Career advisory services for job seekers
• Portfolio company hiring support for venture capital firms
• Related consulting and advisory services

4. Eligibility

You must be at least 18 years of age and have the legal capacity to enter into binding contracts to use our Services. By using our Services, you represent and warrant that you meet these eligibility requirements.

5. User Responsibilities

5.1 For Candidates

As a candidate using our Services, you agree to:

• Provide accurate, current, and complete information in your resume, applications, and communications
• Promptly update any information that becomes inaccurate or incomplete
• Not misrepresent your qualifications, experience, skills, or employment history
• Respond to communications from us and prospective employers in a timely manner
• Notify us if you accept a position or are no longer seeking employment
• Maintain confidentiality of any proprietary information shared during the recruitment process

5.2 For Companies

As a company using our Services, you agree to:

• Provide accurate job descriptions and requirements for open positions
• Comply with all applicable employment laws, including equal opportunity requirements
• Maintain confidentiality of candidate information
• Not directly contact candidates introduced by Roles without our consent during the engagement period
• Pay all fees and charges in accordance with our service agreement
• Provide timely feedback on candidates presented

6. Fees and Payment

6.1 Candidate Services

Our recruitment services are provided free of charge to candidates. We do not charge job seekers any fees for our placement services.

6.2 Company Services

Fees for our recruitment services to companies are established in separate service agreements. Unless otherwise agreed in writing, our standard fee structure applies. Payment terms, fee percentages, and guarantee periods will be specified in the applicable service agreement.

6.3 Circumvention

If a company hires a candidate introduced by Roles within twelve (12) months of the introduction, whether directly or indirectly, the company agrees to pay the applicable placement fee regardless of whether an offer was initially extended.

7. Intellectual Property

All content on the roles.cc website, including but not limited to text, graphics, logos, images, software, and compilation thereof, is the property of Statlyne LLC or its licensors and is protected by United States and international copyright, trademark, and other intellectual property laws.

You are granted a limited, non-exclusive, non-transferable license to access and use our website for its intended purpose. You may not reproduce, distribute, modify, create derivative works of, publicly display, or otherwise exploit any content without our prior written consent.

8. Confidentiality

Both parties agree to maintain the confidentiality of any proprietary or sensitive information disclosed during the course of our engagement. This includes candidate information, company strategies, salary information, and any other information reasonably understood to be confidential.

9. No Employment Relationship

Roles acts solely as an intermediary between candidates and companies. We do not employ candidates placed through our Services, and nothing in these Terms creates an employment relationship between Roles and any candidate. All employment relationships are solely between the candidate and the hiring company.

10. No Guarantee of Placement

While we strive to connect qualified candidates with suitable opportunities, we do not guarantee that any candidate will be hired or that any position will be filled. Hiring decisions are made solely by the hiring company.

11. Disclaimer of Warranties

OUR SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.

We do not warrant that our Services will be uninterrupted, error-free, or secure, or that any defects will be corrected. We do not warrant the accuracy, completeness, or reliability of any information provided by candidates or companies.

12. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, STATLYNE LLC AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, AND AFFILIATES SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, USE, OR GOODWILL, ARISING OUT OF OR RELATED TO YOUR USE OF OUR SERVICES.

OUR TOTAL LIABILITY FOR ANY CLAIMS ARISING UNDER THESE TERMS SHALL NOT EXCEED THE GREATER OF (A) THE FEES PAID BY YOU TO US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM OR (B) ONE HUNDRED DOLLARS ($100).

13. Indemnification

You agree to indemnify, defend, and hold harmless Statlyne LLC and its officers, directors, employees, agents, and affiliates from and against any and all claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of or related to: (a) your use of our Services; (b) your violation of these Terms; (c) your violation of any rights of another party; or (d) any information you provide to us.

14. Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the State of California, without regard to its conflict of law provisions. Any dispute arising out of or relating to these Terms or our Services shall be resolved exclusively in the state or federal courts located in San Francisco County, California, and you consent to the personal jurisdiction of such courts.

15. Arbitration Agreement

For any dispute with Roles, you agree to first contact us at hello@roles.cc and attempt to resolve the dispute informally. If we are unable to resolve the dispute within thirty (30) days, either party may elect to resolve the dispute through binding arbitration administered by the American Arbitration Association under its Commercial Arbitration Rules. The arbitration shall take place in San Francisco, California. The arbitrator's decision shall be final and binding.

16. Class Action Waiver

YOU AGREE THAT ANY DISPUTE RESOLUTION PROCEEDINGS WILL BE CONDUCTED ONLY ON AN INDIVIDUAL BASIS AND NOT IN A CLASS, CONSOLIDATED, OR REPRESENTATIVE ACTION. You waive any right to participate in a class action lawsuit or class-wide arbitration against Statlyne LLC.

17. Modifications to Terms

We reserve the right to modify these Terms at any time. We will notify you of any material changes by posting the new Terms on this page and updating the "Last updated" date. Your continued use of our Services after any changes indicates your acceptance of the modified Terms.

18. Termination

We may terminate or suspend your access to our Services at any time, without prior notice or liability, for any reason, including if you breach these Terms. Upon termination, your right to use our Services will immediately cease. All provisions of these Terms that by their nature should survive termination shall survive.

19. Severability

If any provision of these Terms is held to be invalid or unenforceable, such provision shall be struck and the remaining provisions shall be enforced to the fullest extent permitted by law.

20. Entire Agreement

These Terms, together with our Privacy Policy and any applicable service agreements, constitute the entire agreement between you and Statlyne LLC regarding our Services and supersede all prior agreements and understandings.
